1. Acceptance of terms
These Terms of Service ("Terms") govern your access to and use of the Ptolemy platform, including the website at ptolemy.cloud and the Ptolemy REST API (together, the "Service"), operated by Ptolemy ("we", "us", or "our").
By creating an account or using the Service in any way, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Description of service
Ptolemy provides a structured data management platform for investment data — including an instrument registry, typed attribute storage, time series storage, a market and market listings registry, and a REST API. The Service is provided as a software-as-a-service offering.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.
3. Account registration and security
To access the Service, you must register for an account by providing accurate and complete information. You are responsible for keeping your account credentials secure and for all activity that occurs under your account.
You must notify us immediately at [email protected] if you suspect any unauthorised access to your account. We are not liable for losses arising from unauthorised use of your account where you have failed to maintain the confidentiality of your credentials.
You must not use the Service if you are under 18 years of age, or under the age of majority in your jurisdiction.
4. Acceptable use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to transmit any content that is unlawful, harmful, abusive, defamatory, or otherwise objectionable.
You must not attempt to gain unauthorised access to any part of the Service, interfere with or disrupt the integrity or performance of the Service, or reverse-engineer any part of the Service.
You must not use the Service to store or process any personal data in a way that violates applicable data protection laws, including the UK GDPR and the Data Protection Act 2018.
We reserve the right to terminate or restrict access to your account if we determine, in our sole discretion, that you have violated these Terms.
5. Your data
You retain all ownership rights to the data you upload, import, or create through the Service ("Your Data"). We do not claim ownership over Your Data.
By using the Service, you grant us a limited licence to store, process, and transmit Your Data solely to provide the Service to you. We do not use Your Data for any other purpose.
You are responsible for ensuring that Your Data does not infringe the intellectual property rights of any third party, and that you have the right to upload and use it within the Service.
6. Intellectual property
The Service and all content, features, and functionality (including software, text, graphics, logos, and the design and structure of the API) are owned by us and protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes in accordance with these Terms. You must not copy, modify, distribute, sell, or lease any part of the Service.
7. Fees and payment
Some features of the Service are available free of charge. Premium features are available on paid subscription plans as described on our pricing page. All fees are exclusive of applicable taxes, which are your responsibility.
Paid subscriptions are billed in advance on a monthly or annual basis. If you do not pay fees when due, we may suspend or terminate your access to the paid features.
We may change pricing with 30 days' notice. Changes will not apply to your current billing period. Your continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
8. Disclaimers and limitation of liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. WE ARE NOT RESPONSIBLE FOR ANY INVESTMENT DECISIONS MADE BASED ON DATA STORED OR RETRIEVED THROUGH THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9. Indemnification
You agree to defend, indemnify, and hold us harmless from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
10. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, if you breach these Terms.
You may terminate your account at any time through the account settings. Upon termination, your right to use the Service ceases immediately. We will retain Your Data for 30 days after termination, after which it will be permanently deleted.
11. Governing law and disputes
These Terms are governed by the laws of England and Wales. Any dispute arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
12. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service. Your continued use of the Service after any changes takes effect constitutes your acceptance of the updated Terms.
